Fox Invest Limited has adopted a formal Board Charter that sets out the functions reserved for the Board and those delegated to the Managing Director.

Specifically the board is responsible for:

• Setting the strategic direction of the Company and monitoring management’s performance within that framework;
• Monitoring and overseeing the day to day management of the Company which is undertaken by the Investment Manager in accordance with the Investment Management Agreement;
• Monitoring and approving financial reporting for the Company;
• Monitoring risk management, corporate governance and capital management; and
• Ensuring the Board is and remains appropriately skilled to meet the changing needs of the Company.

The Chairman is responsible for leading the Board in these duties. The Managing Director is responsible for the efficient and effective operation of the Company, including bringing material matters to the attention of the Board
